1. Agreement to Terms
These Terms of Service (“Terms”) form a binding legal agreement between you and LOCI (“we,” “our,” or “us”) governing your access to and use of the LOCI web and mobile applications, websites, APIs, and related features (collectively, the “Services”). By creating an account, accessing, or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you may not use the Services.
You must be at least 13 years old to use the Services. If you are between 13 and the age of majority in your jurisdiction, you represent that a parent or guardian has reviewed and agreed to these Terms on your behalf.
2. Description of Service
LOCI is an event discovery platform that helps users find and engage with events across categories including Music, Sports, Food, Tech, Art, and Drinks. Features include location-based discovery, personalized recommendations, saved events, search, maps, and affiliate ticket purchasing through third-party providers. The Services may include both free and paid features, and we may add, modify, or remove features at our discretion.
3. User Accounts
3.1 Registration
To access certain features, you must create an account by providing accurate, current, and complete information (including name, email, and password). You agree to keep your account information up to date.
3.2 Account Security
You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to:
- Use a strong, unique password and protect it from unauthorized access
- Notify us immediately at legal@loci.city of any suspected unauthorized access or security breach
- Log out of shared or public devices after each session
LOCI is not liable for losses caused by unauthorized use of your account resulting from your failure to maintain account security.
3.3 One Account per User
Accounts are personal and non-transferable. You may not share, sell, or transfer your account to any other person. We reserve the right to suspend or terminate accounts that appear to be fraudulent, automated, or duplicative.
4. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You will not, and will not permit any third party to:
- Violate any applicable law, regulation, or the rights of others (including intellectual property and privacy rights)
- Upload, post, or transmit any content that is unlawful, defamatory, harassing, threatening, obscene, discriminatory, or otherwise objectionable
- Access the Services using automated means (bots, scrapers, crawlers) except for public search engine indexing or as we expressly permit in writing
- Interfere with or disrupt the Services, servers, or networks, including by introducing viruses, malware, or other harmful code
- Attempt to gain unauthorized access to any portion of the Services, other user accounts, or any systems or networks connected to the Services
- Circumvent, disable, or otherwise interfere with security, authentication, rate limiting, or access-control features of the Services
- Reverse engineer, decompile, or disassemble any portion of the Services, except to the extent such restriction is prohibited by applicable law
- Use the Services to send unsolicited communications, spam, or promotional material without our prior written consent
- Use the Services for any commercial purpose other than as expressly permitted under these Terms or a separate written agreement with us
- Resell, repackage, or redistribute event data, ticket inventory, or any Services output except through LOCI's affiliate channels
We may, at our sole discretion, investigate suspected violations and take appropriate action, including removing content, suspending or terminating accounts, and reporting activity to law enforcement.
5. Intellectual Property
5.1 Our Content
The Services, including all software, design, text, graphics, logos, trademarks, and other content provided by LOCI (collectively, “LOCI Content”), are owned by LOCI or our licensors and are protected by copyright, trademark, and other intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use.
No rights are granted to you other than as expressly set forth in these Terms. You may not copy, modify, distribute, sell, or lease any part of the Services or LOCI Content without our prior written consent.
5.2 User Content
You retain ownership of any content you submit, post, or display through the Services (“User Content”), including profile information, saved events, reviews, and feedback. By submitting User Content, you grant LOCI a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify, display, and distribute such User Content solely for the purpose of operating, developing, and improving the Services.
You represent and warrant that you own or have the necessary rights to any User Content you submit, and that your User Content does not violate the rights of any third party or any applicable law.
5.3 Feedback
If you provide suggestions, ideas, or feedback about the Services, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or compensation.
5.4 Trademarks
“LOCI” and related logos are trademarks of LOCI. You may not use our trademarks without our prior written consent. All other trademarks appearing on the Services are the property of their respective owners.
6. Third-Party Services and Content
The Services integrate with and display content from third parties, including Ticketmaster (event listings and ticketing), Google Maps (maps and geocoding), and other providers described in our Privacy Policy.
Ticketmaster and ticket purchases.Ticket purchases initiated through the Services are transacted by Ticketmaster or other third-party ticketing providers and are subject to those providers' own terms, policies, fees, refund rules, and delivery conditions. LOCI is not the seller of tickets and is not responsible for pricing, availability, event cancellation, venue access, or refund processing. Disputes related to a ticket purchase must be raised with the applicable ticketing provider.
Event data accuracy. Event details (including dates, times, venues, lineups, and prices) are provided by third-party sources and may change without notice. While we strive to keep information current, we do not warrant that any event listing is accurate, complete, or up to date. You are responsible for verifying event details with the venue or ticketing provider before making decisions or purchases.
Your use of any third-party service is governed by that third party's terms and privacy policies. LOCI is not responsible for the content, practices, or performance of any third-party service.
7. Fees and Payments
Certain features may require payment of fees. Any fees, subscription terms, and payment methods will be disclosed to you before purchase. Unless otherwise stated, all fees are non-refundable and exclusive of applicable taxes, which you are responsible for paying.
Ticket prices, service fees, and taxes for event tickets are set by the applicable ticketing provider (e.g., Ticketmaster) and are disclosed during that provider's checkout process. LOCI is not responsible for such pricing or fees.
8. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, LOCI DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components, nor that any defects will be corrected. We do not warrant the accuracy, reliability, completeness, or timeliness of any event data, ticket availability, or other content provided through the Services.
Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the exclusions above apply to the fullest extent permitted by law.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL LOCI, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF LOCI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL LOCI'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO LOCI FOR THE SERVICES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
The limitations in this section apply to the fullest extent permitted by law. Some jurisdictions do not allow limitation of incidental or consequential damages; in those jurisdictions, the limitations apply to the fullest extent permitted.
10. Indemnification
You agree to indemnify, defend, and hold harmless LOCI, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your access to or use of the Services, (b) your violation of these Terms, (c) your User Content, or (d) your violation of any rights of a third party.
11. Account Termination
11.1 Termination by You
You may stop using the Services and delete your account at any time through Settings → Account → Delete Account, or by emailing legal@loci.city.
11.2 Termination by Us
We may suspend or terminate your account and access to the Services, with or without notice, if we reasonably believe that you have violated these Terms, created risk or legal exposure for LOCI or its users, or for any other lawful reason.
11.3 Effect of Termination
Upon termination, your right to access and use the Services ends immediately. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law. Retention of personal data following termination is governed by our Privacy Policy.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of North Carolina, United States, without regard to its conflict-of-laws principles. You and LOCI agree to submit to the exclusive jurisdiction of the state and federal courts located in Mecklenburg County, North Carolina for any disputes not subject to arbitration or small-claims jurisdiction, and each party waives any objection to venue in those courts.
Nothing in this section prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
13. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will:
- Update the “Last Updated” date at the top of this page
- Notify registered users via email or an in-app notice at least 14 days before the changes take effect
For non-material changes (such as clarifications or typographical corrections), we may update the Terms without advance notice. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Services and may delete your account.
14. Miscellaneous
- Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement between you and LOCI regarding the Services and supersede all prior agreements.
- Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
- No Waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
- Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
- No Agency. These Terms do not create any partnership, joint venture, employment, or agency relationship between you and LOCI.
- Force Majeure. LOCI is not liable for any failure or delay in performance resulting from causes beyond our reasonable control.
